Job Description

  • Advise clients on private equity transactions, including mergers, acquisitions, and investments.
  • Draft, review, and negotiate complex legal documentation related to private equity deals.
  • Conduct due diligence and risk assessments for transactions.
  • Provide legal support and guidance to ensure compliance with relevant regulations and laws.
  • Collaborate with cross-functional teams to achieve client objectives effectively.
  • Maintain strong client relationships and provide strategic legal advice.
  • Stay updated on industry trends and regulatory changes affecting private equity transactions.
  • Support business development initiatives by contributing to legal strategies and client presentations.

The Successful Applicant

A successful candidate should have:

  • Juris Doctor from an accredited law school and admission in good standing in Massachusetts.
  • 3-5 years' experience advising private equity clients on transactions within a major law firm.
  • Strong background representing private equity sponsors and strategic investors.
  • Deep understanding of corporate governance and securities compliance.
  • Skilled in drafting, negotiating, and legal analysis.
  • Comfortable working with legal AI tools to manage corporate transactions efficiently.
  • Able to self‑manage, prioritize, and operate effectively under tight timelines.
